Yes: If people are in a closed room with no gasses allowed to move in or out of the room, oxygen levels will drop, and carbon dioxide levels will rise. Each person will consume about 250 ml of oxygen per minute and will produce about 200 ml of co2 per minute. So, over time, the changes in oxygen and carbon dioxide concentrations will be significant & ultimately, if enough time passes, may be fatal.

No: You really have to be in a very air tight place for the pco2 to rise. For example if you were in a space shuttle, air tight hole underground. But in normal circumstances, no.
