I was given a edd of 1/22/13; i count back 40 weeks for an lmp estimate? & 38 weeks for my conception day estimate? b/c i can't really recall my lmp.

Estimates: If you can't recall your lmp, the due date must be based on a sonogram? The numbers in your question 40 weeks for LMP and 38 weeks for estimated conception are correct but not necessarily accurate. That will give you a ballpark figure of within a couple of weeks depending on how early your dating ultrasound was performed. Ultrasounds become less accurate dating tools the further along you are.
