Enterprise Terms

If you are accessing HealthTap through an enterprise or group-wide subscription plan, the Terms are hereby modified in the following ways. In the event of a conflict between the Terms and these modifications (or between the Terms and the Privacy Statement), the modifications will supersede:

  1. 1. We will not update these Terms or our Privacy Statement without the consent of the organization sponsoring your access to HealthTap ("Sponsor"), unless those changes are required by changes to applicable laws, regulations or best practices.
  2. 2. If your Sponsor is covering the full cost of HealthTap on your behalf, none of the provisions in the Terms related to payment, pricing and refunds will apply to you.
  3. 3. We will not revoke or deactivate your account without cause during a subscription period.
  4. 4. HealthTap will not own any protected health information as defined by the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), as amended ("PHI") that you provide to HealthTap or the Products or Services., We may use and disclose your PHI solely as necessary to perform and improve the Products for which you, the enterprise, or group-wide subscription plan are contracted to use or receive. We may also use and disclose performance and usage data (such as uptime statistics and user counts) for any purpose permitted by applicable law so long as the data does not contain PHI and cardholder data. Notwithstanding anything to the contrary, our Privacy Statement will not govern your protected health information, personally identifiable information, or cardholder data. We are prohibited from the de-identification or aggregation of PHI, or cardholder data, unless you, the enterprise, or group-wide subscription plan authorize such in writing.
  5. 5. Any waiver or disclaimer of warranty, liability or responsibility that you agree to in the Terms will not limit your Sponsor's ability or rights to pursue any remedies available at law.
  6. 6. You consent to enrollment in Health Information Technology (HIT) platforms; including but not limited to, Health Information Systems and CommonWell Health Alliance. This consent of acceptance of enrollment into CommonWell, and authorizes, Cerner Health Connections Inc., and HealthTap to access outside patient records, if applicable to the consults provided.
  7. 7. If your access to HealthTap through your Sponsor ends for any reason, HealthTap may convert your HealthTap account to a non-sponsored account. You agree that upon termination of your access to HealthTap through a Sponsor subscription, HealthTap may retain all information related to you and your HealthTap account for the purpose of preserving your account and related data as part of the transition to a non-sponsored account. You will not incur any charges in connection with your non-sponsored account unless you opt-in to the Premium Services.
