Calories burned must > calories consumed. Do both cardio & weight training.

In some cases, elevated estradiol levels (yes, men have some level of estrogen) can result in breast development in men. Hormonal imbalance resulting from testosterone replacement or from being overweight can results in elevated estradiol levels.
